1. Scope of Services

Studio Happens provides digital marketing, performance marketing, search engine optimization, web development, custom software solutions, and AI automation systems for client businesses. Specific deliverables, scope, timelines, and fees for custom client projects are governed by individual client proposals or service agreements executed with each client.

2. Intellectual Property Rights

• Client Assets: Upon receipt of full payment for a web or branding project, all custom deliverables created specifically for the client belong to the client.
• Agency IP: Pre-existing reusable code libraries, proprietary frameworks, internal software tools, and agency strategy blueprints remain the intellectual property of Studio Happens.
• Website Content: All content, designs, logos, and materials on studiohappens.tech are protected by intellectual property laws and may not be reproduced without written permission.

3. Payment Terms & Invoicing

• Project deposits or retainer fees must be paid according to the schedule specified in client proposals prior to project commencement.
• Ad spend budgets for Meta Ads, Google Ads, or third-party platforms are funded directly by the client or billed separately from agency management fees.
• All payments are processed securely via authorized banking channels or digital payment processors.

4. Limitation of Liability

To the maximum extent permitted by applicable law, Studio Happens shall not be liable for indirect, incidental, or consequential damages resulting from marketing campaign performance fluctuations, third-party platform algorithm updates (e.g. Google, Meta, LinkedIn), or client site downtime caused by external host providers.

5. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
